Promotional Training Commitments — Terms & Conditions (attached to the above)
1. General
Any promotional guarantee, commitment, payment arrangement, replacement-training offer, coaching commitment, or other special offer displayed on the MISDP Sales Training website (“Promotional Commitment”) is subject to these Terms and Conditions, the applicable quotation or proposal, and any written training agreement signed by the parties.
In the event of a conflict between these Terms and Conditions and a signed written agreement, the signed written agreement will govern to the extent of the conflict.
Promotional Commitments are provided solely to the purchasing business identified in the applicable quotation or agreement and are not transferable, assignable, or available to third parties unless expressly agreed to in writing by MISDP Sales Training.

2. Replacement Salesperson Training Commitment
Where the applicable offer states that MISDP Sales Training will provide training for a replacement salesperson at no additional professional training fee, the following conditions apply:
2.1 Eligibility
The replacement-training commitment applies only where:
a. the original salesperson participated in the applicable MISDP Sales Training program;
b. the original salesperson voluntarily or involuntarily ceases to be employed by the purchasing business within 90 calendar days from the date of the applicable training;
c. the purchasing business notifies MISDP Sales Training in writing within 14 calendar days of the salesperson's departure; and
d. the purchasing business remains current on all amounts owing to MISDP Sales Training.
2.2 Replacement
The replacement must be a newly hired or newly assigned salesperson who is intended to perform substantially similar sales responsibilities.
The replacement-training commitment does not apply to:
- temporary workers;
- contractors;
- consultants;
- interns;
- individuals participating solely for observation;
- additional employees who were not replacing the departing salesperson; or
- employees whose role materially differs from that of the original participant.
MISDP Sales Training reserves the right to reasonably determine whether an individual qualifies as a replacement salesperson.
2.3 Scope of Replacement Training
The replacement salesperson will receive training that is substantially equivalent to the training originally purchased for the departing salesperson, subject to reasonable modifications based on scheduling, delivery format, business requirements, and the training program available at the time of replacement.
The commitment does not entitle the purchasing business to a new customized training program, additional participants, additional training days, travel, accommodation, venue costs, third-party expenses, or other services unless expressly agreed in writing.
2.4 Timing
Replacement training must be scheduled within 90 calendar days following written approval of the replacement-training request, subject to reasonable trainer and scheduling availability.
MISDP Sales Training is not responsible for delays caused by the purchasing business, the replacement employee, scheduling conflicts, illness, travel restrictions, force majeure events, or circumstances outside its reasonable control.
2.5 No Cash or Credit Alternative
The replacement-training commitment has no cash value and cannot be exchanged for a refund, credit, discount, transfer, or other monetary benefit.
3. Implementation Support / Additional Coaching Commitment
Where the applicable offer states that MISDP Sales Training may provide additional coaching if agreed implementation milestones are not achieved, the following conditions apply.
3.1 Written Milestones Required
Any implementation milestones must be specifically identified and agreed in writing by MISDP Sales Training and the purchasing business before the applicable training begins.
General statements concerning improved sales performance, increased revenue, increased conversion rates, increased sales, profitability, productivity, employee performance, or business growth do not constitute an implementation milestone unless expressly identified as such in writing.
3.2 Training Does Not Guarantee Business Results
MISDP Sales Training does not guarantee:
- increased sales;
- increased revenue;
- increased profit;
- increased conversion rates;
- increased customer acquisition;
- increased leads;
- increased closing rates;
- employee retention;
- employee performance;
- achievement of sales quotas;
- achievement of any particular financial result; or
- any other specific business outcome.
Sales and business performance may be affected by numerous factors outside the control of MISDP Sales Training, including market conditions, pricing, competition, product or service quality, demand, lead quality, management decisions, salesperson experience, employee turnover, implementation, customer behaviour, economic conditions, and other circumstances.
3.3 Client Responsibilities
Any implementation-support commitment is conditional upon the purchasing business:
- attending the applicable training;
- providing reasonable access to relevant information;
- implementing the agreed processes or recommendations;
- ensuring participating employees complete agreed activities;
- providing reasonable feedback and information requested by MISDP Sales Training; and
- participating in scheduled coaching sessions.
MISDP Sales Training will not be responsible for an implementation milestone that is not achieved where the failure is materially attributable to the purchasing business, its employees, management, systems, customers, market conditions, or other factors outside MISDP Sales Training's reasonable control.
3.4 Nature of Additional Coaching
Where the conditions for additional coaching are satisfied, MISDP Sales Training may provide additional professional coaching sessions intended to address the identified implementation issue.
Additional coaching:
- is limited to the specific implementation issue identified;
- does not constitute unlimited or indefinite training;
- does not include a new training program unless separately agreed;
- does not include travel or other expenses unless expressly agreed;
- is subject to reasonable scheduling availability; and
- will continue only for the period and number of sessions reasonably determined or expressly agreed in writing.
Unless otherwise stated in a signed agreement, the additional coaching commitment is limited to [INSERT NUMBER] sessions or [INSERT NUMBER] total hours.
I strongly recommend putting an actual limit here rather than leaving this unlimited.
4. Sales Performance and Assessment Disclaimer
Any assessment, audit, score, report, recommendation, evaluation, or feedback provided by MISDP Sales Training is intended for training and professional-development purposes.
An assessment or audit is not an independent certification of professional competence and does not constitute a guarantee that a salesperson will achieve any particular sales result.
Any reference to “improvement,” “performance,” “sales effectiveness,” or similar terminology refers to the criteria and measurement method expressly agreed for the applicable training engagement and does not constitute a guarantee of financial or commercial results.
5. Live-Fire Cold-Calling or Closing Audit
Where the applicable offer provides that the final 50% payment is conditional upon a salesperson completing or passing a live-fire cold-calling or closing audit, the following applies:
5.1 Assessment Criteria
The applicable assessment criteria must be communicated to the purchasing business before the assessment.
The assessment may evaluate factors such as:
- communication;
- questioning;
- discovery;
- listening;
- value communication;
- objection handling;
- professionalism;
- sales-process adherence;
- next-step development; and
- other criteria specified for the applicable training program.
5.2 Assessment Result
MISDP Sales Training will determine whether the salesperson satisfies the applicable assessment criteria based on the assessment framework established for the training program.
The assessment is an educational and training evaluation and is not a guarantee of future sales performance.
5.3 Opportunity to Reassess
If a salesperson does not initially satisfy the applicable assessment criteria, MISDP Sales Training may provide reasonable feedback and, where included in the applicable agreement, one reassessment opportunity.
The reassessment must be completed within [30/60] calendar days unless otherwise agreed in writing.
5.4 Payment Obligation
The payment condition applies only to the specific assessment arrangement stated in the applicable written agreement.
Except where expressly stated otherwise in writing, failure to satisfy an assessment does not cancel the training agreement or release the purchasing business from other contractual obligations.
6. No Guarantee of Sales or Business Results
Participation in MISDP Sales Training does not guarantee any particular level of sales, revenue, profit, conversion, customer acquisition, employee performance, productivity, employment, promotion, compensation, or other commercial or professional outcome.
The purchasing business acknowledges that training is one factor among many that may influence sales performance.
The purchasing business remains solely responsible for its business decisions, sales strategy, pricing, products or services, marketing, lead generation, hiring, management, compensation, employee supervision, implementation, and business results.
7. Limitation of Promotional Commitment
Unless expressly stated otherwise in a signed written agreement, no Promotional Commitment creates an obligation for MISDP Sales Training to provide:
- unlimited training;
- unlimited coaching;
- unlimited reassessments;
- additional employees;
- additional training days;
- additional locations;
- travel or accommodation;
- third-party software or services;
- advertising or lead-generation services;
- sales management services;
- guaranteed sales results; or
- services outside the scope of the original training engagement.
8. Maximum Commitment
To the extent permitted by applicable law, the remedies expressly identified in the applicable Promotional Commitment constitute the exclusive remedies available under that Promotional Commitment.
A Promotional Commitment does not create an entitlement to a refund, chargeback, cancellation of unrelated services, consequential damages, lost profits, lost revenue, loss of business opportunity, or other monetary compensation unless expressly required by applicable law or expressly agreed in writing.
9. Client Cooperation
The effectiveness of any training or coaching engagement depends in part on the purchasing business and participating employees.
The purchasing business agrees to provide reasonable cooperation, participation, information, access, scheduling availability, and implementation support necessary for MISDP Sales Training to deliver the applicable services.
MISDP Sales Training will not be responsible for failure to provide a Promotional Commitment where the purchasing business has materially prevented, delayed, or interfered with delivery of the applicable training, assessment, coaching, or support.
10. Scheduling
All training, coaching, reassessment, and replacement-training sessions are subject to reasonable scheduling availability.
MISDP Sales Training may require reasonable advance notice for scheduling.
Unused sessions, replacement-training opportunities, reassessments, or coaching sessions may expire if not scheduled within the applicable period specified in these Terms, the quotation, or the written training agreement.
11. Changes to Promotional Offers
MISDP Sales Training reserves the right to modify, suspend, or discontinue future promotional offers at any time.
However, a Promotional Commitment already expressly included in a signed written agreement will remain subject to the terms applicable to that agreement, unless otherwise permitted by the agreement or applicable law.
12. Entire Agreement
The website description of a Promotional Commitment, these Terms and Conditions, the applicable quotation or proposal, and the signed training agreement should be read together.
No verbal statement, advertisement, sales representation, or informal communication will modify the applicable Promotional Commitment unless confirmed in writing by an authorized representative of MISDP Sales Training.
